These Terms and Conditions ("Terms") govern your access to and use of the BizSathi platform at bizsathi.com ("Platform"). BizSathi is an early-stage startup and these Terms reflect our current operating model. We may update them as the platform evolves — we will notify you before any significant changes take effect.
By clicking "I agree to the Terms and Conditions" during registration, or by accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not register or use the Platform.
1. Eligibility
- You must be at least 18 years old to register.
- Company accounts must represent an Indian business — incorporated companies, LLPs, or sole proprietorships with a valid GST or PAN registration are all welcome.
- Salesman / Sales Agent accounts must be Indian residents. KYC verification (PAN + Aadhaar) is required before commission payouts above the platform threshold are processed.
- You must provide accurate information during registration and keep it up to date.
- All accounts are reviewed by our team before activation. We reserve the right to decline any application.
2. Account Registration and Security
- Each person or business may hold one account per role (one Company account, one Salesman account).
- Keep your password confidential. You are responsible for all activity under your account.
- If you suspect unauthorised access, contact us immediately at support@bizsathi.com.
- Company accounts must use a corporate email address. Personal email providers (Gmail, Outlook, Yahoo, etc.) are not accepted.
3. What BizSathi Does
BizSathi is a B2B marketplace connecting Indian product companies with independent sales agents. The Platform lets you:
- List products with defined commission rates (Companies)
- Discover products and apply to sell them (Salesmen)
- Submit and track sales leads (Salesmen)
- Review leads and pay commissions (Companies)
BizSathi is a technology platform — we are not a party to any transaction between a Company and a Salesman, and we do not guarantee any minimum sales, leads, or earnings for anyone.
4. Salesman Obligations
- Submit only genuine leads that you have personally sourced through lawful means.
- Ensure customer details (name, contact, address) are accurate to the best of your knowledge.
- Do not submit duplicate leads or fabricate prospects.
- You are an independent contractor — not an employee of BizSathi or of any Company on the Platform.
- Complete KYC before commission payouts above the threshold are processed.
5. Company Obligations
- Product listings must be accurate and comply with applicable laws.
- Honour the commission rate shown on your listing for every qualifying lead.
- Review lead submissions promptly and update statuses accurately.
- Pay commissions in a timely manner once a lead is marked as WON and approved.
- Do not collect leads without intending to pay commissions — this is considered fraud and will result in immediate suspension.
6. Commissions and Payments
- Commission amounts are based on the rate set in the product listing at the time the lead is submitted.
- TDS under Section 194H of the Income Tax Act applies where aggregate commission from a single Company exceeds ₹15,000 in a financial year. The applicable TDS rate is 5%.
- Payments are processed via Razorpay and are subject to their terms of service.
- BizSathi may charge a platform fee as shown on your dashboard. The fee is communicated transparently before any transaction.
- BizSathi is not responsible for disputes between Companies and Salesmen over commission amounts or timelines. We provide an in-platform dispute escalation tool to help resolve issues.
7. Prohibited Conduct
You must not:
- Use the Platform for any unlawful purpose.
- Submit false or fraudulent information.
- Attempt to hack, reverse-engineer, or disrupt the Platform.
- Scrape or extract data without our written consent.
- Harass, threaten, or abuse other users.
- Create multiple accounts to get around suspensions.
- Use bots or automated scripts to interact with the Platform.
Zero-tolerance offences — permanent ban without appeal:
- Direct payments: Paying or receiving commission outside the Platform to avoid platform records or fees. Both parties involved will be permanently banned.
- Fraudulent deal status: Marking leads as WON, LOST, or any other status dishonestly — including marking a deal as WON without actual payment, or LOST to avoid paying a valid commission.
- Fake leads: Submitting fabricated prospect details, duplicate leads under different names, or leads sourced without the customer's knowledge.
- Commission evasion: Any arrangement, agreement, or tactic designed to cut the sales agent out of a commission for a lead they genuinely submitted.
BizSathi monitors transaction patterns and lead activity. If any of the above is detected or credibly reported, the account(s) involved will be permanently suspended with no right of reinstatement. We reserve the right to pursue civil or criminal action where applicable.
8. Intellectual Property
The BizSathi name, logo, software, and platform content are our property. You may not copy, reproduce, or distribute any part of the Platform without permission.
By uploading product images, brochures, or other content, you give BizSathi a non-exclusive, royalty-free licence to display that content to users of the Platform for the purpose of facilitating sales.
9. Limitation of Liability
- The Platform is provided "as is" — we make no guarantees of uptime or error-free operation.
- We are not liable for indirect or consequential losses (lost profits, lost leads, etc.) arising from your use of the Platform.
- Our total liability for any claim shall not exceed the fees you paid to BizSathi in the three months before the claim arose.
10. Suspension and Termination
- You can close your account at any time by emailing support@bizsathi.com.
- We may suspend or terminate accounts that violate these Terms, with or without prior notice.
- Pending commissions for verified, completed leads will still be processed after termination, unless the termination was caused by fraud by the same party.
- We retain your data in line with our Privacy Policy.
Permanent bans
Violations listed under Section 7 (zero-tolerance offences) — including direct payments, fraudulent deal status updates, fake leads, and commission evasion — will result in a permanent ban of the account and any associated accounts (same phone, email, device, or business). Permanently banned users may not register again under any name or entity. Attempting to do so is itself a violation and may be reported to relevant authorities.
11. Disputes
If you have a dispute, please reach out to us first at support@bizsathi.com — we are a small team and will do our best to resolve it quickly. If we cannot reach an agreement within 30 days, the dispute will be referred to arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be India.
12. Governing Law
These Terms are governed by the laws of India. Indian courts shall have jurisdiction over disputes not resolved through arbitration.
13. Changes to These Terms
We may update these Terms as BizSathi grows. We will notify you by email at least 15 days before any material changes take effect. Continued use of the Platform after that date means you accept the updated Terms.
